Abstract

The responsibility is one of the most important legal elements in our legal system. Without it, we would lack the key piece that unites the norms with the actions of the human being, that is, that part of the coercive functionality that forces compliance with its postulates.

Liability is always a passive figure that is activated when its causes germinate, whether contractual or extra-contractual, it lies latent in civil law, but accompanies other branches of law.

In Commercial Law, it has the primary purpose of preventing breach of contracts, but also, as we will see below, it expressly appears, in some legislation, to ensure the purpose of compelling a specific conduct, and that the purposes of legal protection are not in the abstract.

Along with the merchant's obligations, it is instituted to provide security to the market, and all its elements.
